Terms and Conditions
1.0 Interpretation
In these terms and conditions:
(a) the following words shall have the meanings assigned to them:
“Contract” means the agreement between the Customer and Summit Saunas for the supply of the Goods and/or the Services, formed upon acceptance by Summit Saunas of the Customer’s Purchase Order;
“Customer” means the person or entity named as purchaser in the Customer’s Purchase Order;
“Customer’s Purchase Order” means the purchase order or other document issued by the Customer seeking the supply of the Goods and/or the Services;
“Goods” means components, equipment, and materials described in the Customer’s Purchase Order;
“Services” means the labor and coordination services described in the Purchase Order;
“Intellectual Property Rights” includes patents, trademarks, designs, know-how, copyrights, and other IP;
“Summit Saunas” means the Summit Saunas entity issuing the proposal and accepting the Customer’s Purchase Order;
“Summit Saunas’s IP” means all IP held or licensed by Summit Saunas.
(b) Words in the singular include the plural and vice versa. Words importing gender include all genders.
2.0 Application of Terms
These terms and conditions apply to all Goods and Services supplied by Summit Saunas. Any change to these terms must be agreed to in writing by an authorised representative of Summit Saunas.
All work is performed in compliance with:
The Australian Consumer Law (ACL)
The National Construction Code (NCC)
Relevant Australian Standards, including but not limited to:
AS 1684 (Timber Framing)
AS 2870 (Slabs and Footings)
AS 3740 (Waterproofing)
AS/NZS 3000 (Electrical Installations)
3.0 Payments
3.1 All pricing is exclusive of GST unless stated otherwise. GST will be added to the total invoice amount.
3.2 Payment terms are as follows:
10% non-refundable deposit to secure booking
40% progress payment prior to construction commencement
50% final payment due upon completion and commissioning
3.3 All invoices are due within 14 days. Disputes must be raised in writing before the due date. Unpaid invoices may incur a 5% late fee.
3.4 If payment is not made within 5 days of notice of non-payment, Summit Saunas reserves the right to suspend work and/or terminate the Contract.
3.5 Summit Saunas may charge interest on overdue balances at 5% per annum above the RBA cash rate.
4.0 Variations
4.1 Any changes to scope (e.g., material upgrades, size alterations, layout changes) must be approved in writing. Variations will be quoted and invoiced accordingly.
4.2 Variations may impact project cost and timeframe.
5.0 Site Access & Preparation
5.1 The Customer must ensure timely, safe, and clear access to the installation site.
5.2 Any delay caused by site obstructions, incomplete prep, or third-party scheduling may incur additional charges.
5.3 Summit Saunas will coordinate directly with licensed trades (e.g. electricians, plumbers) as required. These works are carried out by subcontractors and are not included in Summit Saunas’ direct scope of works unless otherwise stated.
6.0 Warranties
6.1 Summit Saunas warrants Services are delivered to a high industry standard for 24 months from final invoice date. Any proven defects will be rectified.
6.2 Goods built by Summit Saunas are warranted against defects in workmanship and materials for 24 months from final invoice date.
6.3 Third-party products carry the manufacturer’s warranty. Summit Saunas will assist in facilitating warranty claims.
6.4 This warranty excludes misuse, neglect, wear and tear, or maintenance failure (e.g. untreated timber, water damage, improper use).
6.5 Our liability is capped at the cost of re-performing the Services or replacing defective Goods.
7.0 Cancellations & Termination
7.1 The 10% deposit is non-refundable.
7.2 If the Customer cancels after works have begun, Summit Saunas reserves the right to retain payment for work and materials to date.
7.3 If Summit Saunas cancels due to unavoidable circumstances, a refund of unused funds will be provided.
8.0 Indemnity & Limitation of Liability
8.1 Each party indemnifies the other against claims arising from injury, death, or damage due to negligence or misconduct.
8.2 Neither party shall be liable for indirect or consequential loss.
9.0 Force Majeure
Summit Saunas is not liable for delays due to causes beyond its control, including material shortages, trade availability, weather events, or force majeure. Reasonable time extensions will apply.
10.0 Dispute Resolution
10.1 All disputes must first attempt resolution via open negotiation.
10.2 If unresolved, the matter will proceed to mediation or commercial arbitration within Victoria.
11.0 Intellectual Property
11.1 All plans, drawings, photos, and documentation remain the property of Summit Saunas and may not be reproduced without permission.
11.2 Summit Saunas retains rights to all sauna concepts and designs.
11.3 Client agrees not to reproduce or replicate proprietary features or reuse design without approval.
12.0 Media & Promotion
12.1 Summit Saunas may use photography of completed projects in marketing unless the client requests otherwise in writing prior to commissioning.
13.0 Confidentiality
13.1 All customer information is treated confidentially. Likewise, clients agree not to disclose proprietary construction methods, costs, or project details.
